    OpenAI was incorporated as a nonprofit in Delaware in December 2015.[8] In March 2019 it created OpenAI LP, a “capped-profit” company that limited investor returns to 100 times their investment.[9] Microsoft invested $1 billion in OpenAI the same year.[10]

    Microsoft came out of the recapitalization with an investment valued at about $135 billion, roughly 27 percent of OpenAI Group PBC on an as-converted diluted basis.[13] As part of the same agreement, OpenAI contracted to buy an incremental $250 billion of Azure cloud services, and Microsoft gave up its right of first refusal to be OpenAI’s compute provider.[14] The agreement also says that if OpenAI declares it has reached artificial general intelligence (AGI), an independent expert panel must verify the declaration. Microsoft’s rights to OpenAI’s intellectual property run through 2032.[15]

    Funding and IPO plans

    In March 2026 OpenAI raised $122 billion at an $852 billion valuation, according to media reports, which described it as the largest funding round in Silicon Valley’s history.[3] SoftBank led the round with several investment firms, and earlier backers Amazon, Nvidia and Microsoft also took part.[16]

    In June 2026 OpenAI said it had confidentially submitted a draft registration statement to the US Securities and Exchange Commission for a proposed initial public offering (IPO).     OpenAI’s main products are ChatGPT, the Codex coding tool and an API for developers.[18] In early September 2026 it launched GPT-6 Astra, which it described as its best model for a range of tasks.[19] On September 22, 2026 it released GPT-6 Sol and GPT-6 Luna, smaller models priced at half the cost of its previous 5.6 series.[18] OpenAI said GPT-6 Sol makes about half as many mistakes as its predecessor.[20]
